1. Agreement to Terms
These Terms of Service ("Terms") govern your use of digit.com.pk (the "Site") and any services provided by DIGIT ("DIGIT", "we", "us"), a software development and IT services company based in Gujranwala, Punjab, Pakistan. By accessing the Site or engaging our services, you agree to these Terms.
2. Services
DIGIT provides custom software development, web and mobile application development, AI/LLM integration, cloud/DevOps, and related IT consulting services. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate written proposal, statement of work (SOW), or contract signed by both parties. Where a conflict exists between these Terms and a signed SOW, the SOW governs for that engagement.
3. Use of the Website
You agree to use the Site only for lawful purposes. You may not:
- Attempt to gain unauthorised access to the Site or its underlying systems.
- Use automated means to scrape or extract content beyond normal search-engine crawling.
- Interfere with the Site's normal operation or security.
4. Intellectual Property
Site content. All text, graphics, logos, and branding on this Site are owned by DIGIT unless otherwise noted, and may not be reproduced without written permission.
Client deliverables. Ownership of custom code, designs, and other deliverables produced for a paying client transfers to that client upon full payment, unless the applicable SOW states otherwise. DIGIT retains the right to reuse general-purpose components, internal libraries, and know-how that are not specific or confidential to the client's project.
5. Payment Terms
Unless otherwise agreed in a signed SOW:
- Projects typically require an upfront deposit before work begins, with remaining payments tied to milestones or delivery.
- Invoices are due within the period stated on the invoice (typically 7–14 days).
- Late payments may result in pausing of active work until the account is brought current.

6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement, and to use it only for the purposes of the project. A separate NDA may be executed for engagements requiring stronger confidentiality guarantees.
7. Warranties and Limitation of Liability
DIGIT provides services with reasonable skill and care. Except as expressly stated in a signed SOW, services are provided "as is" without other warranties, express or implied. To the maximum extent permitted by law, DIGIT's total liability for any claim arising from an engagement is limited to the fees paid by the client for the specific deliverable giving rise to the claim. DIGIT is not liable for indirect, incidental, or consequential damages.
8. Third-Party Services
Projects may involve third-party platforms, APIs, or services (e.g. cloud providers, payment gateways, AI model providers) that are governed by their own terms. DIGIT is not responsible for the availability, pricing, or policy changes of third-party services outside our control.
9. Termination
Either party may terminate an active engagement in accordance with the notice terms specified in the applicable SOW. Fees for work completed up to the termination date remain payable.
10. Governing Law
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Any disputes will first be addressed through good-faith negotiation before formal proceedings.
11. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes constitutes acceptance.
